On this page we have set out a list of the shell companies that benefit from certain transitional provisions under the UK Listing Rules.
On 29 July 2024 the new UK Listing Rules (UKLR) came into force. The UKLR introduced a listing category for shell companies. The eligibility requirements and continuing obligations for issuers with securities listed in this category are set out in chapter 13[1] of the UKLR.
For shell companies that were listed on the Official List before 29 July 2024, and shell companies that were in-flight applicants (as defined in the UKLRs), the UKLRs provide certain alleviations from the eligibility requirements and continuing obligations in UKLR 13.
These shell companies did not have to comply with all of the eligibility requirements and do not have to comply with the continuing obligations in UKLR 13.

Details of the requirements these shell companies do not have to comply with are set out in the Transitional Provisions in the UKLR here[2].
The Transitional Provisions apply until 29 July 2025. After that date, all shell companies have to comply in full with the rules in UKLR 13.
